OWNERSHIP OF THE PLATFORM AND ITS MATERIALS

All materials displayed or made available on the Platform, encompassing but not limited to textual content, visual elements, photographic images, video compositions, audio materials, downloadable files, designs, graphics, buttons, and sourcing mechanisms, are protected by copyright, trademark, and other laws. Except for personal, non-commercial application and download only, reproduction, modification, distribution, transmission, republication, display, or performance of all materials on the Platform is prohibited. Stockmore Images Inc. authorizes intellectual property rights and trademarks, secrets, and related protections. Stockmore Images Inc. authorizes downloading or copying data that is not specifically available for unrestricted distribution and utilization.

UTILIZATION OF THE PLATFORM

The Platform and Materials are provided exclusively for legitimate business purposes related to the evaluation, licensing, and acquisition of stock photographs available on the Platform. You consent to use the Platform and Materials without a valid written license or agreement from Stockmore Images Inc., to engaging in activities that are prohibited, impeding, disabling, or interfering with security measures or connected infrastructure, (2) circumventing technological protections, (3) reverse engineering, deciphering, or disassembling code, (4) attempting to gain unauthorized access to the Platform or confidential information, and (5) collecting, using, or exploiting data without Stockmore Images Inc.'s explicit authorization. Stockmore Images Inc. disclaims responsibility for user misconduct. While under no obligation to do so, Stockmore Images Inc. may take appropriate legal action against anyone who breaches these policies and procedures, and such action may also be available to third parties. You are accountable for safeguarding your account information and maintaining the secrecy of your login and password. You are legally responsible for all actions carried out within your account. If you think someone else has accessed your account or if you become aware of any unusual activity, you should immediately notify Stockmore Images Inc. by sending an email to support@stockmoreimages.com.

STORED PAYMENT INFORMATION AND AUTOMATIC RENEWALS

You transmit to Stockmore Images Inc. retaining your payment details (such as credit card information) through secure third-party processes. You further authorize Stockmore Images Inc. to charge any payment method you authorize to bill for products and services supplied, automatically, thereby ensuring uninterrupted service continuity.

By keeping your payment information, you grant Stockmore Images Inc. the irreversible permission to bill you on a recurring basis for services supplied via your chosen payment method and to adjust the updated method once you revoke or amend your details.

INTELLECTUAL PROPERTY INFRINGEMENT POLICY

Pursuant to applicable copyright legislation and other protective statutes, Stockmore Images Inc. maintains a policy of supporting or preserving rights to photographs as well as conducting enforcement. Stockmore Images Inc., and its licensors and partners, maintain copyright, trademark, patent, and other intellectual property rights of Stockmore Images Inc., or any third party.

INFRINGEMENT NOTIFICATIONS

If you in good faith believe that any material on the Platform infringes your copyright or other proprietary rights, you may submit a formal notification to our designated agent at legal@stockmoreimages.com. Include the following in your DMCA copyright infringement notice:

TRADEMARKS

The trademarks, various marks, logos, and trade names of Stockmore Images Inc., including but not limited to the Stockmore Images brand, are registered or unregistered intellectual property of Stockmore Images Inc. and its licensors. Stockmore Images Inc., and its licensors, and shall not be implicated, emphasized in any manner without prior written authorization from an authorized representative of Stockmore Images Inc. Other trademarks shown on the Platform belong to their respective owners, and reference thereof implies no affiliation or endorsement thereof.

EXTERNAL LINKS

Stockmore Images Inc. provides hyperlinks to external websites solely for user convenience and discussions of features and regulations. These links are not a guarantee of the accuracy, currency, or completion of such information and do not constitute endorsement of external sites or their content by Stockmore Images Inc. Stockmore Images Inc. is not liable for any issues, inaccuracies, or interactions with third-party sites.

INTERACTIVE FEATURES AND USER SUBMISSIONS

The Platform may incorporate forums, comment sections, or other participatory elements (collectively, "Interactive Features") where you or other users may submit comments or content (collectively, "User Submissions"). By using these Interactive Features, you agree to the User Submission Policy, which requires that you:

• Refrain from utilizing the Platform to engage in abusive, defamatory, or illegal behavior.
• Visibly validate intellectual property or commercial obligations.
• Impersonate individuals or entities.
• Solicit or sell goods, services, or donations or avarice.
• Contain malicious code or deceptive elements, or
• Stockmore Images Inc. is a state-owned, illegal Platform feature or require parties to harm.

Offenses Thereon: Be a more considerate for interactive services. Stockmore Images Inc. developers responsibility for user Submissions. While under no obligation to monitor "User Submissions" for Posts, grant Stockmore Images Inc. a perpetual, irrevocable copyright. Individual shall promptly notify Stockmore Images Inc. of any illegal or deceptive or harmful action User Submission and assist Stockmore Images Inc. User Submission or authorization can be used.

ACCOUNT REGISTRATION AND SECURITY

To access certain features, you must provide accurate registration information and maintain its currency. You shall safeguard your credentials, report loopholes promptly, and assume full liability for account activities, including taxes and fees. You understand Stockmore Images Inc. is not responsible for issues related to credentials.

INDEMNIFICATION OBLIGATIONS

You agree to indemnify, defend, and hold harmless Stockmore Images Inc. and its affiliates, officers, directors, employees, agents and representatives from any liability, claims, damages, costs, and expenses (including reasonable legal fees) arising from or related to your violations of these Platform Terms, your use of the Platform, your User Submissions, breach of contract or violation of rights, or claims involving third parties regarding your material, services rendered.

DISCLAIMERS OF WARRANTIES

THE PLATFORM AND ITS MATERIALS ARE FURNISHED "AS IS" AND "AS AVAILABLE" BASIS. STOCKMORE IMAGES INC. MAKES NO WARRANTY, EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE PLATFORM AND MATERIALS, INCLUDING IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. STOCKMORE IMAGES INC. DOES NOT WARRANT UNINTERRUPTED ACCESS, ERROR-FREE OPERATION OR CONFORMANCE OF THE PLATFORM AND MATERIALS TO YOUR EXPECTATIONS. STOCKMORE IMAGES INC. FURTHER DISCLAIMS ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF THE PLATFORM'S CONTENT. THE FOREGOING DISCLAIMER OF WARRANTIES IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OR THE EXCLUSION OF ANY AVOIDED WARRANTIES, HENCE SOME LIMITATIONS MAY NOT APPLY.

LIMITATIONS ON LIABILITY

IN NO EVENT SHALL STOCKMORE IMAGES INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR MANAGERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF STOCKMORE IMAGES INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, MATERIALS, OR ANY LINKED WEBSITES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE) AND WHETHER OR NOT SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION MAY NOT APPLY.

GOVERNING LAW AND DISPUTE RESOLUTION

These Platform terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the provincial and federal courts of Ontario, Canada. By utilizing the Platform, any court in Ontario, Canada has jurisdiction. Notwithstanding the foregoing, Stockmore Images Inc. may seek injunctive relief in any court to protect its intellectual property rights. No formal action or suit shall be filed by a user within 12 months of the Platform Terms' adoption.

TERMINATION RIGHTS

Stockmore Images Inc. expressly, the unwritten right, without notice or liability, to suspend or terminate your account to the Platform at its sole discretion, including for suspended violations.

MISCELLANEOUS CLAIMS

Any waiver must be in writing signed by Stockmore Images Inc. Signed provisions shall be severable with the entire, and the remainder of the provisions shall remain intact. The failure on the part of Stockmore Images Inc. to enforce any provision of this Agreement shall not be deemed a waiver of Stockmore Images Inc.'s right to enforce the provision.

AMENDMENTS TO PLATFORM TERMS

Stockmore Images Inc. may amend these Platform Terms at its discretion, effective upon posting with updated date. Continued use constitutes acceptance. Review periodically.
